MATTERPORT3D NETWORK
Terms of Use
Effective 2026-10-05 · Version 1
1. About these terms
These Terms of Use govern Matterport3D.net and its operator directory, project matching, communications and related network tools (the "Network"). "Matterport3D," "we," "us" and "our" refer to the business operating Matterport3D.net. "Operator" means a business or individual offering capture or related services through the Network. "Customer" means a person seeking those services. Contact us at office@matterport3d.net.
You must be at least 18 and able to enter a binding agreement to register, submit a project or act as an Operator. Anyone accepting for a business represents that they have authority to bind it. By affirmatively accepting these Terms when applying or through your dashboard, you agree on behalf of yourself and the Operator business you represent. Our Privacy Policy describes our information practices and is a notice, not a blanket consent to unrelated uses of personal information.
2. Our role and independent Operators
The Network provides listings, introductions, request distribution and coordination tools. Unless we expressly identify ourselves as the contracting service provider in a separate written agreement, the Operator, not Matterport3D, supplies and is responsible for the capture and related work. A managed website, directory approval, matching result or Network branding is not a guarantee of an Operator's qualifications, insurance, background, availability, performance or financial condition. Customers should verify requirements directly.
Operators run their own businesses, decide which projects to pursue, set and negotiate their own prices and methods, provide their own personnel and equipment, and may work elsewhere. Network participation creates no employment, partnership, franchise, joint venture, fiduciary or agency relationship. Operators may not bind us, incur obligations for us, represent themselves as our employees or promise a Network guarantee. Applicable law and the actual working relationship control any legal classification.
Matterport3D is an independent network and is not affiliated with, endorsed by or an authorized representative of Matterport, Inc. Third-party brands remain their owners' property.
3. Listings, matching and project agreements
Approval and continued listing are discretionary, subject to applicable law. Keep your identity, contact information, services, coverage, credentials, licensing and insurance information accurate. We may request supporting information, correct or remove inaccurate content, and change reasonable listing and matching criteria. There is no exclusive territory, guaranteed placement, guaranteed number or quality of leads, guaranteed project, revenue or return on investment. Coverage totals and requested precision describe areas and needs; they do not certify capture feasibility or survey accuracy.
A request may reach multiple Operators. A response is a preliminary proposal, not a reservation, payment or completed booking. The Customer chooses an Operator; other responses then close. The selected parties must directly agree in writing on scope, achievable accuracy, permitted reliance, deliverables, fees and taxes, scheduling, access, cancellation, refunds, intellectual-property rights, hosting duration and any recurring third-party costs before work begins. We are not a party to that project agreement unless we separately agree in writing. Selection does not authorize an Operator to charge a Customer without the Customer's agreement.
Requests may be incomplete, duplicated, withdrawn, outside usual coverage or unsuitable. Verify location, access, safety, budget, identity and requirements. We may facilitate communications or investigate a complaint without assuming a duty to perform or guarantee the project. No one may use a response as professional surveying, architectural, engineering or other licensed advice unless the responsible qualified professional expressly agrees and applicable law permits it.
4. Operator responsibilities
Operators are responsible for their services, workers, subcontractors, equipment, travel, taxes, wages, lawful classification of personnel, insurance appropriate to their work, required business and professional licenses, and compliance with applicable laws and third-party platform terms. If aerial work is offered, the Operator is responsible for required pilot credentials, aircraft compliance, airspace authorizations and safe operations. Do not advertise capabilities or precision you cannot lawfully and reliably deliver.
Obtain all necessary property-entry, owner, occupant, privacy, model, intellectual-property and other permissions. Plan for people, valuables, security systems, confidential material and unsafe conditions before capture. Respect access restrictions and instructions, protect Customer property and information, and promptly notify the affected Customer and Matterport3D of material incidents affecting a Network project. You are responsible for addressing deficiencies, claims, refunds and project disputes arising from your work, subject to your Customer agreement and applicable law.
Maintain reasonable administrative and technical safeguards for project information. Use a lead or Customer's details only to assess, communicate about or perform that person's requested services, unless another use has an independent lawful basis and all required consent. Do not sell, rent, compile into unrelated prospecting lists, scrape, disclose unnecessarily or use Network lead data for unsolicited marketing. Bind anyone working for you to appropriate confidentiality and data-protection obligations. Promptly cooperate with valid privacy requests and security investigations concerning information you received through the Network.
5. Free participation and possible future fees
At present we do not charge Operators for Network directory or catalog presence, matching or job-request distribution. Free participation is not a promise that every Network feature will remain free forever. We may introduce charges for listings, enhanced placement, subscriptions, lead or job-request distribution, or other clearly described services. Optional website design, hosting, support and third-party services may have separate quoted charges; submitting an inquiry does not purchase them.
Before a previously free feature becomes paid for you, we will disclose the price or calculation method, billing interval, taxes and mandatory fees, what event creates a charge, any renewal terms, and cancellation and refund terms, and obtain your affirmative agreement. We will ordinarily give at least 30 days' advance notice of converting an existing free offering to paid participation, and any additional notice required by law. Mere continued presence in the directory, silence, these Terms, or a saved payment method does not authorize a new paid plan or retroactive charges. You may decline, leave, or continue using any free options then available. We may discontinue the affected free feature after notice without enrolling you in its paid replacement.
If offered, a recurring Network plan will be month-to-month or shorter with no minimum long-term commitment. Any per-use fee must be disclosed and authorized before the chargeable event. Charges already lawfully incurred remain payable; there is no Network early-termination penalty. Refunds and any prepaid-period treatment must be disclosed in the specific offer and comply with law. An agreed paid listing or distribution fee does not purchase a guaranteed booking, exclusive lead or Customer information for unrelated use.
6. Leave the Network at any time
There is no long-term Network participation contract. The account owner can select "Leave the network" in the operator dashboard at any time, or request cancellation at office@matterport3d.net, including if account access is unavailable. Dashboard withdrawal immediately removes the Network listing and stops eligibility for new Network requests. Email requests are handled promptly after any reasonable identity verification; we do not require a retention call or a cancellation fee.
Withdrawal does not cancel an already agreed Customer project, erase lawful obligations, delete all records, or cancel separately purchased website, hosting or third-party services. Coordinate any existing commitments directly with Customers. If recurring Network fees are introduced, cancellation will stop future renewals; the specific offer will explain any remaining paid access or refund, subject to law. You may request account or personal-data deletion separately under the Privacy Policy. A request to rejoin is subject to fresh consent and approval; an administrator cannot silently reverse your withdrawal.
7. Acceptable use, accounts and content
Keep credentials and private project links secure and report suspected misuse promptly. Do not impersonate others, misrepresent qualifications, submit false requests, harass or discriminate unlawfully, upload unlawful or infringing content, interfere with security or service operation, send spam, scrape personal data, circumvent access controls, or misuse another workspace. Do not submit secrets, financial account numbers, government identification, health information or other unnecessary sensitive material in project descriptions.
You retain rights in content you supply. You grant us a nonexclusive, worldwide, royalty-free license to host, reproduce, format, display and transmit that content solely to operate, support and promote your authorized listing and requested Network services. You represent that you have the necessary rights and permissions. This license is not a transfer of Customer deliverables or ownership. After withdrawal we stop publicly displaying the listing, subject to ordinary caching and copies outside our control; limited operational, legal and backup retention is described in the Privacy Policy. Use of our branding requires our permission and must stop when that permission or your participation ends.
8. Suspension, changes and availability
We may restrict or suspend participation for inaccurate information, material breach, nonpayment of agreed charges, unlawful or unsafe conduct, a credible security or privacy concern, or to comply with law. We may act immediately where reasonably needed to protect people, data or the service, and provide an explanation when lawful and practical. Contact office@matterport3d.net to request review. We may also discontinue free features or the Network on reasonable notice where practical. Our discretion does not permit unlawful discrimination or disregard of mandatory refund or consumer rights.
We may update these Terms. We will identify the effective date and version and give reasonable notice of material changes through the site, dashboard and/or account email as appropriate. Operators will be asked to affirmatively accept updated terms before sending new responses or rejoining under them. Changes do not retroactively change an accrued claim or authorize fees without the separate agreement described above. You may decline and withdraw. Necessary security or legal changes may take effect sooner to the extent permitted by law.
9. Service disclaimers
To the extent permitted by law, the Network and third-party information are provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose or noninfringement. We do not promise uninterrupted operation, error-free matching, protection against every security incident, successful projects, or that an Operator's statements, measurements or deliverables are correct. Customers and Operators must make their own project-specific assessments. Nothing disclaims an express written commitment we separately make or a warranty that law does not allow us to exclude.
10. Limits of liability
To the maximum extent permitted by law, Matterport3D and its owners, personnel and service providers will not be liable under these Terms for lost profits, lost opportunities, loss of goodwill, or indirect, special, incidental, consequential or punitive damages arising from use of the Network. For claims arising from the Network, our aggregate liability to you will not exceed the greater of US $100 or the Network fees you paid us in the 12 months before the event giving rise to the claim. Amounts paid directly to an Operator or an unrelated provider are not Network fees.
These limits do not exclude or limit liability for fraud, willful misconduct, gross negligence, violations of law, personal injury or other liability to the extent applicable law prohibits exclusion or limitation. They do not remove non-waivable consumer, privacy, statutory or other rights. If a limitation cannot lawfully apply, it applies only to the maximum lawful extent. A separate signed service agreement may provide different limits for services supplied under that agreement.
11. Operator indemnity
To the extent permitted by law, an Operator will defend, indemnify and hold harmless Matterport3D and its owners and personnel against third-party claims and resulting damages, settlements, penalties lawfully indemnifiable, and reasonable legal costs to the extent caused by the Operator's breach of these Terms, unlawful acts, negligence or willful misconduct; its services or personnel; missing permissions; infringement by its content or deliverables; or misuse or insecure handling of Customer data. This obligation does not extend to the extent a claim is caused by our own negligence, misconduct or other fault, or where indemnification is prohibited by law.
We will give reasonably prompt notice of a covered claim and reasonable cooperation at the Operator's expense. Delay in notice reduces the obligation only to the extent materially prejudicial. The Operator may control the defense with reasonably acceptable counsel; we may participate at our own expense. No settlement may impose an admission, nonmonetary obligation or unreimbursed payment on an indemnified party without that party's prior written consent, not unreasonably withheld.
12. Disputes and general terms
Please first contact office@matterport3d.net with a description of a concern so we can try to resolve it. This request does not limit urgent relief, filing deadlines, small-claims proceedings or regulatory complaints. California law governs these Terms, excluding conflict-of-laws rules, except where mandatory law requires otherwise. Subject to non-waivable rights and proper jurisdiction, disputes may be brought in the state or federal courts in California having jurisdiction. These Terms do not impose mandatory arbitration or a class-action waiver.
These Terms and any expressly agreed supplemental Network terms form the agreement about Network participation. Separate Customer project and website-service agreements govern their own subject matter. If a provision is unenforceable, the remainder continues to the extent lawful. A failure to enforce once is not a continuing waiver. No assignment may unlawfully diminish your rights. Provisions concerning accrued payment obligations, data use and confidentiality, content rights needed for lawful retention, disclaimers, lawful liability limits, indemnity and dispute resolution survive termination as appropriate to their purpose.
